January 12, 1944 A regular meeting of'the Executive Committee of'P. Lorillard Company was held today at the office of' the Company, 119 West 40th Street, New York City. There were _present Messrs.: G. H. Hummel H. A. Kent G. D. Whitefield E. S. Bowling VJ'« J. Halley J. S. Freeman F. Hopewell Todd Wool Mr. Hummel, Chairman, presided, and the Secretary acted as Secretary of' the meeting. On motion duly made and seconded, the reading of the m.inutes of the previous meeting, was dispensed with. On motion of' Mr. Freeman,, seconded by Mr. Whitefieid,, it was unanimously RESOLVED: That the Guaranty Trust Company, of New York, Trustee under Indenture dated October 1, 1943, be and it is hereby authorized and empowered to certify, issue and deliver to National Life Insurance Company, Montpelier, Vt., one registered 20-Year 3% Debenture, without coupons, due October 1, 1963',, in the principal amount of $543,000, inexchange for Temporary 3% Debentures of like principal amount. On~ motion, of Mr. Halleg, seconded by Mr. Wh.'itefie7ld, it was unanimously RESOLVED: That the employment of Miss Virginia Louise Trevillian, Regis- tered' N'nrse,, at the Whitlock Branch, at a salary at the rate of $35 per week, effective January 3, 1944, be and the same hereby is in all respects approved, ratified, and confirmed. on motion o Mr. Hopewell, seconded by Mr. Bowling, it was unan3unousl,y RESOLVED: That the reemployment of Earl Lamont Callaway as Se2esman, at a salary at the rate of' $30 per week, effective January ' 3, 1944, , with the autho- rization of the Sales Dept. and the approval of G'. D. Whitefield, Eicecutive Vice-president, and W. J. Halley, Vice-President, be and the same hereby is inn all respects approved,,ratified, and confirmed'. On motion of Mr. Freeman, seconded by Mr. Kent, it was unanimously RESOLVED: That the increase in salary of David J. MacMillan, promoted to Traffic Manager succeeding Mr. P. H. Croxton, who resigned effective December 31,. 1943, 'from the rate of $5„700 per annum, to the rate of' $8,000 0 per annum, effective January 1, 1944, be and the same hereby is in al1 -respects approved, ratified, and confirmed. On motion of Mr. Bowling,, seconded by Mr. Hopewell, the following, adver- tising expenditures were in all respects approved, ratified, and confirmed!: Estimate #152 Supplement AOf'J.
